ITEM 4.01 CHANGES IN REGISTRANTS CERTIFYING ACCOUNTANT
On August 30, 2004, Ernst & Young LLP (E&Y), the independent registered public accountants of Mastec, Inc. (the Company or the Registrant), informed the Company that it would resign as the Companys independent registered public accounting firm following completion of services related to the audit of Mastec North America, Incs financial statements for the year ended December 31, 2003.
E&Ys reports on the Companys financial statements for the fiscal years ended 2002 and 2003, did not contain an adverse opinion or a disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles.
During the years ended December 31, 2002, 2003, and through August 30, 2004, there were no disagreements between the Company and E&Y on any matters of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which, if not resolved to E&Ys satisfaction, would have caused it to make a reference to the subject matter of the disagreements in connection with their reports on the Companys consolidated financial statements for such years; and there were no reportable events, as defined in Item 304 (a)(1)(v) of Regulation S-K, that have not been previously disclosed.
The Company has provided E&Y with a copy of the foregoing disclosures. Attached as Exhibit 16.1 is a copy of E&Ys letter, dated September 2, 2004, stating its agreement with such statements.
